Terms & Conditions

Definition

"the Proprietors" means Tom Buchanan

"the Buyer" means the party to whom this document is addressed.

Payment

Payment shall be made by the Buyer to the Proprietors as invoiced. The Buyer shall not be entitled to exercise any set off lien or other similar claim.

Cost Variation

Quotations or orders are subject to variation before or after acceptance to meet any rise in the cost of materials specified by the Buyer.

Late Payment

The right is reserved by the Proprietors to charge the Buyer a late payment surcharge of 5% per month or part thereof (with a minimum charge of £50 per month or part thereof) on all amounts not paid as invoiced. The surcharge shall be without prejudice to any other rights in favour of the Proprietors.

Unpaid Cheques

The Proprietors reserves the right to charge the Buyer £50 for each presentation of unpaid cheques. The charge shall be without prejudice to any other rights in favour of the Proprietors.

Collection Costs

The Proprietors reserves the right to charge all third party collection costs to the Buyer. Such costs will be payable to the Proprietors by the Buyer on an indemnity basis.

Invoices

All invoices shall be considered accepted by the Buyer unless queried within 7 days of the date of the invoice.

Extras

All extras will be charged by the Proprietors to the Buyer at the Proprietor's prevailing hourly rate plus materials. Any extras costing in excess of an estimated total of £500 (five hundred) will only be carried out on receipt of a written order signed by the Buyer.

Retention of Title

While the risk passes on delivery all materials remain the property of the Proprietors until all monies due to the Proprietors from the Buyer have been paid. Such payments to include any surcharges and charges for unpaid cheques and collection costs. The Buyer hereby grants an irrevocable licence to the Proprietors or his agent to enter the Buyer's property to repossess such materials.

Quotations

All quotations are valid for 6 weeks. Quotations are to be accepted by the Buyer in writing.

Intellectual Property

All designs and plans prepared by the Proprietors are for the sole use of the Buyer.

Guarantees and Warranties

Any warranty given or implied by the Proprietors will not become effective until all the monies due from the Buyer have been paid. Any additions or repair work carried out by the Buyer or third parties will invalidate all warranties and guarantees.

Claims

All claims by the Buyer will be limited to the cost of the replacement of materials.

Working Areas

The Proprietors shall have clear access to working areas which shall have adequate light, ventilation water and power.

Utilities

No responsibility will be accepted by the Proprietors for damage to unmarked utilities or pipes, drains and cables however caused.

Cancellation of Orders

All orders and instructions and accepted quotations may only be cancelled with the Proprietor's written consent and on terms which would indemnify the Proprietors for all loss.

Returned Goods

The Proprietors reserves the right to charge a 25% handling charge for all materials which are accepted for return by the Proprietors. The Buyer will pay all packing and carriage charges in advance.

Alteration of Terms

These terms and conditions shall prevail over all other terms and no printed, written or oral terms shall apply which are inconsistent with these terms and conditions.

Acceptance

The placing of an order will confirm acceptance of these terms and conditions.

Law

These terms and conditions shall be subject to the laws of England and the Buyer agrees to be bound to the exclusive jurisdiction of the courts of England and Wales.
